Strengthening Unfair Contract Term Protections

The Assistant Treasurer, Michael Sukkar MP, today released an Exposure Draft Bill to strengthen the Unfair Contract Term (UCT) protections for consumers and small businesses. The revised UCT protections are designed to protect small businesses from unfair terms in standard form contracts.

Businesses with less than 100 employees or with an annual turnover of less than $10 million, will be eligible under the new protections. The new law also aims to provide additional clarity about what constitutes a standard form contract and provide courts with additional powers to penalise those who seek to use unfair terms in their standard form contacts.

As agreed by the Commonwealth state and territory consumer affairs ministers late last year, the new law will include reforms which:

  • make UCTs unlawful and give courts the power to impose a civil penalty;
  • provide more flexible remedies to a court when it declares a contract term unfair by:
    • giving courts the power to determine an appropriate remedy, rather than the term being automatically void;
    • clarifying that the remedies available for ‘non-party consumers’ also apply to ‘non-party small businesses’; and
    • creating a rebuttable presumption provision for UCTs used in similar circumstances;
  • increase the eligibility threshold for the protections from less than 20 employees to less than 100 employees, and introduce an annual turnover threshold of less than $10 million as an alternative threshold for determining eligibility;
  • remove the requirement for the upfront price payable under a contract to be below a certain threshold in order for the contract to be covered by the UCT protections;
  • improve clarity around the definition of standard-form contract, by providing further certainty on factors such as repeat usage of a contract template, and whether the small business had an effective opportunity to negotiate the contract; and
  • enable certain clauses that include ‘minimum standards’ or other industry-specific requirements contained in relevant Commonwealth, state or territory legislation to be exempt from the protections.

The AADA welcomes the changes which, if introduced as drafted, will provide increased protections for Dealers who qualify under the new thresholds and we commend Assistant Treasurer Michael Sukkar for his support of these reforms.

Taken into account with the new automotive Dealer Schedule in the Franchising Code and Dealer specific protections that exist in NSW as part of the Motor Dealers and Repairers Act, the UCT changes add to the legislative body of work which recognise and seek to correct the differences in power that exists between Dealers and OEMs.

The AADA would however still argue that all franchisees should qualify for the UCT protections, as noted in Recommendation 6.8 of the Parliamentary Enquiry into the Franchising Code and will be responding to the Government accordingly.

The draft Bill is open for consultation until 20 September 2021 and more detailed information about the changes is available on the Treasury website.

NSW Lockdown Restrictions

To: ALL NSW Members

The NSW State Government has extended stay-at-home restrictions to all of NSW and has revised and strengthened the lock down orders. The state-wide lockdown restrictions are the same as the lockdown restrictions now in force for Greater Sydney and came into effect from 5pm, Saturday 14 August, currently scheduled to end at 12.01am, Sunday 22 August 2021.

Advice for Dealers in all parts of the state:

  • Showrooms must be closed.
  • Every employer across NSW must require their employees to work from home if the employee is reasonably able to do so.
  • Face masks must be worn at all times outdoors and in indoor non-residential premises and QR check-in registrations must be completed when entering any commercial premises.
  • Items which are purchased over the phone or on the internet may be home delivered or picked up using COVID-safe click and collect.
  • Workshops can continue to operate for essential repairs (subject to the use COVID-safe practices).

NSW State-Wide Lockdown

The NSW State Government have announced a state-wide lockdown, which will come into effect from 5pm today, Saturday 14 August and is due to end at 12.01am, Sunday 22 August 2021.

We understand that the restrictions will be similar to those in Greater Sydney, but we are still awaiting further details.

ACT Seven-Day Snap Lockdown

The ACT Government has announced a seven-day snap lockdown for the state, to come into effect as of 5.00pm, 12 August 2021. During the lockdown period business and community restrictions apply and Canberrans are asked to stay at home and leave for essential reasons only.

The six essential reasons you can leave your home during this lockdown are:

  • to buy essential groceries and medicine
  • to access essential healthcare including in-home care
  • for essential work
  • to exercise outdoors for one hour per day in your region
  • to get a COVID-19 test
  • to get a COVID-19 vaccinated.

 

Advice for Dealers

It is our understanding, that:

  • Showrooms must be closed.
  • Essential retail operations including vehicle and mechanical repair services

can continue to operate.

  • Essential workers are allowed to travel to work. Essential workers include a person who is working for an essential provider or business that is permitted to operate.

The AADA is reaching out to the ACT Government to try and allow click and collect retail for new car Dealers.

Updated Directions On South-East Queensland Lockdown Restrictions

We have been in contact with the MTAQ who have been in discussion with the Office of the Chief Health Officer (CHO) seeking clarification on the effect of current lockdown restrictions on automotive businesses. A copy of MTAQ’s advice to its members can be accessed here.

The Office of the Chief Health Officer (CHO) has extended the lockdown for the South-East Queensland to 4pm Sunday 8 August and released updated direction on restrictions for locked down areas, including clarification of the definition of essential work.

Members in the affected South-East Queensland LGAs should note that:

  • Non-essential retail, including new car Dealer showrooms are advised to close.
  • Vehicle pick-up should only be performed when critical and according to COVID-safe procedures.
  • Vehicle repair, service and maintenance are allowed to operate according to COVID-safe procedures.

  • City of Gold Coast

NSW JobSaver Program Boosted and Disaster Payment Increased

The NSW State and the Commonwealth Governments have today announced assistance for businesses and individuals affected by the current NSW lockdown. The JobSaver program has been increased and made available to more businesses while the Disaster Payments have been increased.

JobSaver Boost:

  • Payments will now be available to businesses with an annual turnover of between $75,000 and $250 million, which have experienced a revenue decline of 30 per cent or more.
  • The maximum weekly payment has been increased, with employing businesses that maintain their employee headcount now able receive between $1,500 and $100,000 per week, up from $10,000, with payments based on 40 per cent of their weekly NSW payroll.

Applications for JobSaver opened on Monday but today’s JobSaver boost will be backdated, so businesses that have already received a first payment on previous settings will be topped up when their next payment is made. Businesses can expect to receive funds in their accounts within five to ten business days from their approval date.

Disaster Payment Increase:

  • The $600 disaster payment for people who have lost more than 20 hours a week will lift to $750.
  • The payment for people who have lost less than 20 hours of work increases from $375 to $450 a week.

Update: Terms and Application of Victorian Zero Emissions Vehicle Subsidy

To: ALL VICTORIAN MEMBERS

We have received clarification from Solar Victoria on the terms and application of Victoria’s Zero Emissions Vehicle (ZEV) Subsidy. We have summarized Solar Victoria’s full update below. Dealerships who have applied the subsidy as a discount at point of sale are asked to email Solar Victoria at zevsubsidy@team.solar.vic.gov.au as soon as possible.

How to Apply the subsidy:

  • Dealers must not apply the subsidy at point of sale: 
    Solar Victoria have advised that Dealers must not apply the subsidy at point of sale just yet. Dealers are asked to ensure new customers who purchase an eligible new ZEV follow the instructions on Solar Vitoria’s website to apply for the subsidy.
  • Implementation of a point of sale subsidy payment process by end of August:
    Solar Victoria continues to work on a subsidy payment process so that the subsidy can be applied at point of sale, which is aimed to be implemented by the end of August.

Additional/updated ZEV Subsidy Eligibility Criteria:

  • ZEV Demonstrator Models included:
    ZEV demonstrator models on-sold to the customer on or from 2 May 2021 are eligible for the ZEV Subsidy.
  • ZEVs funded under leasing arrangements included:
    ZEV Subsidy is available for ZEVs purchased under leasing arrangements on or from 2 May 2021.
  • ZEVs purchased from interstate Dealers but registered in Victoria:
    ZEVs purchased from interstate dealerships are eligible for the subsidy provided the ZEV is registered with VicRoads for use in Victoria. This means that Dealers licensed by VicRoads to register new vehicles in Victoria can sell ZEVs that are eligible for the subsidy.
  • 6 Month Extended Delivery Time:
    The requirement for ZEVs to be delivered after a customer signs the contract has been extended from 3 to now 6 months.

NSW Digital Vehicle Registration Trial

ServiceNSW and Transport for NSW are trialling a Digital Vehicle Registration service, which will provide vehicle registration documents to customers electronically, instead of in the post. Eligible customers will be invited to opt into the trial to access their digital Certificate of Registration through their MyServiceNSW Account. Customers will also be sent renewal reminders through their MyServiceNSW Account and by email.

 

If your dealership uses paper certificates, you should familiarise yourself with the new-look digital version. The digital Certificate of Registration can be used for all the same purposes as the paper certificate.

 

Unlike paper certificates, digital certificates do not contain a notice of disposal or a transfer application. Instead, customers are encouraged to submit these online. Alternatively, paper forms can be downloaded and printed from the Service NSW website or can be done at a Service NSW location.

 

Once the trial is complete, the digital Certificate of Registration will be launched state-wide. For more information about the Digital Vehicle Registration trial, visit Service NSW.

Clarification of Restrictions on Dealerships in NSW

We have received numerous queries from members affected by the NSW lockdown on the rules surrounding workshop service and repairs.

The AADA Secretariat has consulted with the NSW State Government and have received written confirmation that:

  • Showrooms must be closed.
  • Retail operations can only occur via click and collect.
  • Workshops can continue to operate for repairs and maintenance work and scheduled servicing on cars can continue (subject to COVID safe practices).
